Professional Account Agreement

1. Parties and Definitions

• Platform: BodrumdaBirEv (bodrumdabirev.com) website and mobile applications.
• Professional User: Real estate business with Real Estate Trade License.
• Real Estate Office Account: Corporate account opened on the Platform on behalf of the Professional User.
• Real Estate Consultant: Persons working and authorized within the Professional User.

3. Listing Publication Rules

• Authorization from the property owner through EIDS (Electronic Listing Verification System) is required for all listings.
• Title deed registration number or property number must be specified in the listing.
• The authorization period obtained from the property owner must be at least 3 months.
• Authorization document, power of attorney or license copy may be requested.
• The accuracy, currency and compliance of listing content with regulations is the responsibility of the Professional User.

4. Sub-Users and Delegation

• The Professional User can create sub-user accounts for real estate consultants within their organization.
• The Professional User is responsible for all actions of sub-users.
• Management of sub-user permissions is the responsibility of the Professional User.
• Accounts of departing personnel must be closed immediately or their permissions revoked.

5. Fees and Payment Terms

• Special packages and subscription options may be offered to Professional Users.
• Current prices and package contents are published on the Platform.
• Invoices are issued monthly or annually.
• Payments must be made within the specified due date.
• Legal interest is applied on late payments and service may be suspended.
• No refunds for used services.

• To make reasonable effort for uninterrupted and secure operation of the Platform.
• To provide technical support and assistance service.
• To notify service changes within a reasonable time in advance.
• To provide listing performance statistics.

9. Liability and Indemnification

• The Professional User indemnifies Royalyat for damages, administrative fines and expenses that may arise from regulatory violations or infringement of third party rights.
• Royalyat's liability is subject to the limitations specified in the Terms of Use.

10. Privacy and Personal Data

• Personal data is processed in accordance with KVKK and the Disclosure Statement.
• The Professional User uses customer data only for service purposes and cannot share with third parties.
• Parties are obliged to protect trade secrets and confidential information.

11. Pro App and Data Processing

• The BodrumdaBirEv Pro app offers the Professional User and its agents tools such as portfolios, photos, measurement and floor plans, a contact book, documents, notes, presentation PDFs, notifications and the Sahibinden connection. This agreement also applies to the use of the Pro app.
• For the people in the contact book, documents, notes and the private details of portfolios, the Professional User is the data controller and Royalyat is the data processor. Instructions, confidentiality, security, sub-processors, breach notification, return and deletion for this data are set out in the Data Processing Agreement, an annex to this agreement.
• The Professional User must inform the people it records in the contact book and in documents under Article 10 of the Law and must have a legal basis for the processing.

12. Photo and Text Assistance (Artificial Intelligence)

• The photo editing and listing text suggestion service is optional and provided through an artificial intelligence service provider. It can be used after the user approves it once in the Pro app; monthly usage credits are shown in the app. Credits are personal, cannot be transferred and unused credits do not carry over to the next month. Credits used for failed or cancelled jobs are returned. The information sent and the retention periods are explained in the Disclosure Statement.
• The Professional User and its agents agree and undertake that no real person, licence plate, document, address or door number or other information about a person is identifiable in the photos they send for editing. The platform does not check photos for this automatically; this obligation lies with the Professional User.
• The Professional User undertakes that it holds the necessary rights to the photos it sends for editing (including the permission of the photographer if someone else took the photo) and the owner's permission to advertise and edit them. If an identifiable person appears in a photo, the photo may not be published without that person's permission (Article 86 of Law No. 5846).
• The rights to the original photos stay with the Professional User or the right holder. For edited versions and suggested texts, the Professional User grants Royalyat the licence in Section 9 of the Terms of Use for listing content; it covers reproduction, adaptation, distribution and communication to the public for publishing the listing, showing it in presentation PDFs and promoting the platform.
• The Professional User is responsible as the advertiser for edited images and suggested texts (Regulation on Real Estate Trade and Regulation on Commercial Advertising and Unfair Commercial Practices, including Article 18(8) in force since 1 August 2026). It checks that every result keeps the property's real features; it does not use images that show the property differently, misleadingly or not as it really is in listings or presentations, checks and corrects a suggested text before publishing it and follows the edited photo rules of the Listing Rules.
• Edits that change how the property looks are shown automatically on the platform with the "Edited image" label. The Professional User may not remove, crop or hide this label; if it uses an edited image outside the platform, it states clearly that the image has been edited.
• The service is used lawfully and in line with the service provider's usage policies. Persons under 18 may not use the service.
• Royalyat may suspend the service and remove non-compliant images and texts in case of a breach of this section or the Listing Rules, or abuse.
• Administrative fines imposed on Royalyat and compensation Royalyat has to pay to third parties because of a breach of this section are recovered from the Professional User.
• Edited images and suggested texts are produced with artificial intelligence and may contain errors; the result is not guaranteed. Royalyat's liability for this service is subject to the limitations in the Terms of Use; liability for intent and gross negligence is reserved.

13. Effectiveness and Changes

• This agreement becomes effective when the Professional User creates an account on the Platform and accepts the terms.
• Royalyat may change this agreement. Changes against the Professional User are announced on the Platform and to the registered e-mail address a reasonable time before they take effect. A Professional User who does not accept a change may terminate the agreement by closing its account until the effective date. Continued use of the services after the effective date counts as acceptance of the change to the extent the law allows; where the law requires express acceptance, separate approval is asked for.
• Notifications are sent to the Professional User's registered e-mail address on the Platform; the Professional User keeps this address up to date.

14. Applicable Law and Jurisdiction

• Turkish law applies.
• For disputes with Professional Users who are merchants, Istanbul Central (Çağlayan) Courts and Enforcement Offices have jurisdiction. For Professional Users who are not merchants (for example tradesperson real estate businesses), the statutory jurisdiction rules apply.
